Scope of agreement
To Our Valued Trust Online Customers:
Those of us who utilize digital channels to conduct business understand the importance of having formal agreements in place between each of us individually and our service providers. We greatly appreciate the relationship we have with you through our TrustReporter (“Trust Online”) service. Occasionally, we make changes to improve how we provide Trust Online and the changes require that we amend the agreement between us. By using, visiting, or browsing our Trust Online service you and agree to be bound by the terms within our Trust Online Agreement and Disclosure (the “Agreement”). The most current version of the Agreement will supersede all previous versions. We encourage you to read the entire agreement and if you have questions or comments, please contact us. We welcome your feedback.
Within the Trust Online Agreement and Disclosure the words “we”, “us”, “our” or “Bank” means Park National Bank (Park). “You” and “your” refer to the account holder and “account” or “accounts” means your accounts at the Bank. The Trust Online Agreement and Disclosure provides information regarding the Bank’s Trust Online service, and Electronic Statement services. This Agreement is the contract between you and the Bank and you should read this Agreement carefully prior to accepting the Agreement. You may print a copy of the Agreement to keep with your other important account records and for future reference.
This Agreement, in conjunction, with other supplemental disclosures provided to you at account opening, or may have been sent to you separately via U. S. Mail, explain your rights and obligations as well as the Bank’s rights and responsibilities. You should understand that by using or allowing others to use your Trust Online services, you have agreed to abide by and be bound by the terms and conditions of this Agreement as well as other disclosures provided to you in person, electronically or through U.S. Mail. Should you need a printed copy of the Bank’s disclosures, just ask us by calling your account administrator, email us at trust@parknationalbank.com or write to us at the address on the Bank’s Web site. This Trust Online Agreement (Agreement) contains the terms and conditions that govern the access to your Trust information, accounts, and other online services. You may use your Internet Service Provider to access Eligible Accounts via the Internet.
By using the Park National Bank TrustReporter service you agree to abide by the terms and conditions of this Agreement.
Terms and Conditions
Eligible Accounts – Each open and active trust and investment account is eligible to be accessed through Trust Online.
Fees – At this time, there are no fees to access your eligible trust and/or investment accounts. In the future, other fees may be assessed for specific Trust Online services. If and when any fees are assessed, a minimum of 30 days’ notice will be given to any affected Trust Online customers.
Enrollment – To access your eligible trust and/or investment accounts online, you will be required to complete a trust online application. Once processed, Park National Bank will email you a temporary password for your first-first time logging in. Upon receiving this email, you will need to go to www.parknationalbank.com and select Trust Online in the Account Login box and enter the preferred login you listed on your trust online access application, along with the temporary password. You will be prompted to change your password. Your new password must be 6 to 10 characters in length and can include any combination of letters, numbers, or symbols and is case sensitive.
Your online access is enhanced with two-factor authentication. You will be asked to register your phone number and choose whether you’d like to receive a special passcode via text or voice message. Each time you login, you’ll receive a new 6-digit passcode to use, along with your regular login credentials, to verify your identity. Message & Data rates may be charged by your mobile carrier, please refer to your separate agreement with your mobile carrier for more information.
Our Liability – Except as specifically provided in this Agreement or where the law requires different standards, you agree that neither Park National Bank nor the service providers shall be responsible for loss, property damage or bodily injury, whether caused by the equipment, software, Park National Bank, Internet access providers, online service providers or an agent or subcontractor of any of the foregoing, or the service providers be responsible for any direct, indirect, special or consequential, economic or other damages arising in any way out of the installation, use or maintenance of the equipment, software, online services, Internet or access thereof.
Your Liability – All customers will be provided with a login and password. You are solely responsible for maintaining the confidentiality of your login and password and we will not be responsible for any breach of security caused by the failure to so maintain the confidentiality of your login and password. You further agree that you will be responsible for all transactions and activities that occur as a result of your disclosure of your login and password, whether or not such transactions and/or activities were authorized by you. You agree not to provide your account information to third parties, and shall at all times be responsible and liable for any transactions or activities that occur on your account. You shall immediately notify us in the event of any unauthorized use of your account of if you become aware of any other breach of security.
Preventing Misuse – The best way to prevent misuse of your account is to protect your personal information, including your account numbers and passwords. In addition, it is essential that we are notified as quickly as possible if you believe someone has gained access to your confidential information. Park National Bank recommends you log out of your account at the end of every session, and close your browser before leaving the terminal.
Unauthorized Use – Tell us at once if you believe your login and/or password have been lost or stolen. Each owner is responsible for transactions conducted by individuals with whom the login and password have been shared.
Account Data – All account data is provided as a convenience and for your information, but is not the official record. Park National Bank records remain the official record. Account data provided through online services is generally updated on a daily basis, as of the end of the previous business day, and is subject to adjustment and correction.
Termination – Unless otherwise required by applicable law, Park National Bank may terminate this Agreement and/or your access to any of the online services through the Internet, in whole or in part, at any time. You, our customer, may terminate your rights to access the services at any time by contacting your account administrator. We reserve the right to require that you provide us with written notice of your desire to terminate your account. Following any such termination, you agree that you will immediately cease to attempt to use the services.
Changes – Except as otherwise required by law, rule, or regulation, Park National Bank may change the terms and conditions of this Agreement as well as any charges or fees, from time to time and at any time. When changes are made to this Agreement the Bank will post the revised Agreement on the website. Changes will become effective when posted to the website and you may be required to “accept” or “decline” the changes. If not required to accept or decline the changes, continued use of the site constitutes your acceptance of the new Agreement. If state or federal laws or regulations require advance notice of the changes, the Bank will adhere to all notification requirements in accordance with state or federal laws and/or regulations. The website will be updated on the effective date, unless an immediate change is necessary to maintain the security of the system or unless a law, rule, or regulation requires that it be updated at an earlier time.
Email – One method of communicating with Park National Bank is through email. This method is very effective for request of additional information, questions, comments, and other miscellaneous correspondence. However, email is not a secure method of communication and confidential information should not be sent in email.
Bank’s Right to Cancel – Park National Bank reserves the right to cancel this service in whole or in part at its sole discretion for any reason without prior notification. Account holders agree to indemnify and hold harmless Park National Bank, its directors, officers, employees, and agents from any loss, liability, claims, demands, judgments, and expenses arising out of, or in any way connected with, such cancellation.
Availability of the Services – We will use reasonable efforts to make Trust Online available; however, it may unavailable from time to time for maintenance or other reasons.
If Trust Online is unavailable or any other reason, you may access your account information in another manner such as visiting a bank branch office or contacting your account administrator. We make no representations or warranties about the availability of the Services.
Consent to Electronic Delivery of Bank Notices
You agree that any notice or other types of communication provided to you or others you may authorize pursuant to the terms of this Agreement, and any future disclosures required by law may be made electronically by posting the notice on the Bank’s website or by email. You agree to notify the Bank immediately if you change your email address. Electronic Statements – If you chose to receive an Electronic Statement for any of your accounts, you agree to receive your selected account statement(s) electronically via Trust Online and to discontinue receiving paper statements. It also means that you agree to receive online any legal notices and other information affecting your accounts that would otherwise have been included with your paper statement, including, but not limited to, account agreements, fee schedules, privacy and other regulatory notices, and amendments to any of those documents. When you select this option, you must then log on to the Bank’s secure Trust Online website using your preferred login and password to view your Electronic Statement and/or other notifications.
In order to access your statement information electronically, you must have a computer with internet access and a browser, sufficient electronic storage capacity on your computer’s hard drive or other data storage unit, a program that accurately reads and displays PDF files (such as Adobe® Acrobat ® Reader ®) and an email account with an Internet service provider. To print and retain your Electronic Statements, you will need a printer attached to your computer.
When your online Electronic Statement is available, you will receive an email notification to your external Internet email address. This is the external email address you previously provided to the Bank. If your email notification is returned to us undeliverable, we may discontinue Electronic Statement services and mail your paper statements via U. S. Mail. If your email address changes, you must provide us with your new email address by contacting your account administrator, email us at trust@parknationalbank.com or write to us at the address on the Bank’s Web site. Regardless of your receipt of email notification, you agree that our posting of the Electronic Statement on the Trust Online Website constitutes delivery of your statement. You agree to log on to Trust Online at least once a month to review your statements.
If you would like a paper copy of any statement, please contact your account administrator, email us at trust@parknationalbank.com or write us at the address on the Bank’s Web site. We may charge a fee for each statement copy you request.
You may elect to withdraw consent to receive your statement in electronic format. To withdraw consent, please contact your account administrator.
Hardware and Software Requirements
To access Trust Online you will need a computer with internet access, a compatible browser, and a compatible operating system.
Supported operating systems for desktop-based access: Microsoft® Windows 7, Windows 10 and Mac OS® X (latest stable).
We support the two most recent versions of the following browsers: Microsoft® Internet Explorer, Google Chrome™, Mozilla® and Firefox.
Trust Online is not intended for use on a mobile device, however in the event Trust Online is accessed via a mobile device you acknowledge that Trust Online is dependent upon the availability and quality of the wireless network through which you are accessing Trust Online and, as a result, it may not be accessible or have limited utility depending upon your choice of wireless network and the availability of data services provided by your mobile carrier. We cannot guarantee and are not responsible for the availability or utility of your wireless service.
Message & Data rates may be charged by your mobile carrier. When you use Trust Online, you remain subject to the terms and conditions of your existing agreements with your service providers, including but not limited to, your mobile service provider and their Agreement does not amend or replace any of those agreements. You agree that only your mobile service provider is responsible for its products and services. You agree to resolve any problems with your provider directly without involving us. We do not warrant that Trust Online will meet your requirements, operate without interruption or be error-free, and we will not be liable for any loss or damage caused by the unavailability or improper functioning of Trust Online, or for any actions you take in reliance on the services, including without limitation, service interruption, inaccuracies, delays, or loss of data. You may choose to access the Services using an Internet-enabled mobile device. We reserve the right to modify, delete or add services at any time.
Computer Specifications: It is your responsibility to obtain and maintain the communication links required to use Trust Online, such as Internet service provider, telecommunications companies and any other authority identified by you.
Your Responsibility – You acknowledge that in connection with your use of the Trust Online, the Bank, its divisions and service providers may receive and may share with one another names, domain names, addresses, passwords, telephone and device numbers, the content of messages, data files and other data and information provided by you or from other sources in connection with Trust Online (collectively “User Information”) so that we may effectively deliver this service to you.
The Bank, its divisions and service providers will maintain reasonable safeguards to protect the information from unauthorized disclosure or use, but reserve the right to use and disclose this information as reasonably necessary to deliver Trust Online and as otherwise permitted by law, including compliance with court orders or lawful instructions from a government agency, to protect the personal safety of subscribers or the public, to defend claims, and as otherwise authorized by you. The Bank, its divisions and service providers also reserve the right to monitor use of Trust Online for purposes of verifying compliance with the law, these terms and conditions, and any applicable license, but disclaims any obligation to monitor, filter, or edit any content.
The circumstances under which we will disclose information about you, your accounts or your online services is set forth in our Privacy Policy.
Restrictions on Use – You agree not to use Trust Online in, or for, any illegal, fraudulent, unauthorized or improper manner or purpose and will only be used in compliance with all applicable laws, rules and regulations, including all applicable state, federal, and international Internet, data, telecommunications, telemarketing, “spam,” and import/export laws and regulations, including the U.S. Export Administration Regulations. Security and User Information – You agree to take precautions to protect the security and integrity of your Account(s) when using Trust Online, including but not limited to (a) not leaving your device unattended while logged into Trust Online; (b) logging off immediately after using Trust Online; (c) not providing your user name, password, or other access
information to any unauthorized person. You agree that you are solely responsible for all transactions made with respect to your Account(s) by any person you allow to use your device, login information or other means of accessing Trust Online. You are solely responsible for the security of your access to Trust Online. You should not provide access to Trust Online to anyone other than an owner of the Account. You must comply with the security procedures or practices we require from time to time. You are also solely responsible for safeguarding the security and confidentiality of any information obtained through your use of Trust Online and for preventing errors or unauthorized access to Trust Online and/or your Account(s).
Password and Virus Protection – At all times your account ID and password should be secured and kept confidential. Any computer virus or related technology or software problems that may occur with your computer are your responsibility. The Bank recommends that you routinely scan your computer and related media using a reliable virus detection product.
Indemnification – Unless caused by our intentional misconduct or gross negligence, you agree to indemnify, defend and hold harmless the Bank, its divisions, officers, directors, employees, consultants, agents, service providers, and licensors from any and all third party claims, liability, damages, expenses and costs (including, but not limited to, reasonable attorney fees and court costs) caused from (a) a third party claim, dispute, action, allegation of infringement, misuse, or misappropriation based on information, data, files, or otherwise in connection with Trust Online; (b) your violation of any laws or rights of a third party; or (c) your use, or use by a third party, of Trust Online.
Your Right to Terminate – You may cancel your access to Trust Online at any time by providing the Bank with written notice by U.S. mail. Your access to Trust Online will be suspended three (3) business days after the Bank’s receipt of your instructions to cancel the service. You will remain responsible for all outstanding fees and charges incurred prior to the date of cancellation.
DISCLAIMER OF WARRANTIES – THE SERVICE IS PROVIDED “AS-IS” WITHOUT REPRESENTATION OR WARRANTY OF ANY KIND, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF THE TRADE, NONINFRINGEMENT, ACCURACY OR SECURITY.
LIMITATION OF LIABILITY – TO THE FULL EXTENT PERMITTED BY APPLICABLE LAW, PARK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS IS NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF PARK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), HOWEVER CAUSED, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE PORTAL; (B) UNAUTHORIZED ACCESS TO OR ALTERATION OF THE SUBMISSION, OTHER TRANSMISSIONS, OR DATA; (C) STATEMENTS, MESSAGES, OR CONDUCT OF ANY THIRD PARTY; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE.
Waiver and Severability – The failure of Park to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. To the extent that any provision in these Terms may be determined unenforceable, such provision shall be modified in such a manner so as to make these Terms as modified, legal and enforceable under applicable laws and the balance of the provisions of these Terms shall not be affected thereby.
Applicable Law – The laws of the State of Ohio govern these Terms without giving effect to any principles of conflicts of laws. You agree to comply with all laws in any jurisdiction applicable to performance of your obligations hereunder and that may be applicable to the transmission of data on the internet, including, but, not limited to laws governing the use of encryption and laws governing the transmission of data and containing personally identifiable information.
